Terms of service
These terms of service (the “Terms”) are an agreement between Zerobyte Technologies Private Limited, a company incorporated in India with its registered office at Plot No-318/991/5682, Krishnapuri, Malipada, Bhubaneswar, Khordha, Odisha 751003, India (“Shlix”, “we”, “us”), and the insurance agency or other business that uses Shlix AI (the “Customer” or “agency”). They apply to the Shlix AI website and to the Shlix IBS service, including Dedicated Operations Support. A person who accepts these Terms for an agency confirms that they have authority to bind it. These Terms take effect for an agency on the earlier of the date it signs an order and the date it first uses the service, and this version is effective from October 22, 2026.
1. The agreement
1.1 Documents. The agreement between Shlix and an agency is made up of: the agency's order or proposal accepted in writing (the “Order”); our Data Processing Addendum (the “DPA”); these Terms; and the policies they refer to, namely our billing and refund policy, acceptable use policy and AI use policy.
1.2 Incorporation. The DPA is part of these Terms and applies automatically whenever we process agency data, whether or not a separate copy is signed. We sign a copy on request.
1.3 Order of precedence. If documents conflict, this order applies: a signed master agreement; the Order; the DPA (for anything about personal information and security); these Terms; then the policies. Terms printed on an agency's purchase order do not apply.
1.4 Website visitors. If you only browse the website, only sections 16 and 18 to 21 apply to you, together with our privacy policy.
2. The service
2.1 Shlix IBS software. Shlix IBS (AI-Powered Insurance Back-Office Support) reads the requests that arrive in the agency's connected service mailbox, sorts agency work from personal email, routes requests to the right person with a due time, prepares certificates of insurance, ID cards and replies from the agency's own records for review, and keeps a record of every step.
2.2 Dedicated Operations Support. Where the Order includes it, our trained staff carry out the administrative back-office tasks the Order lists, for the hours it sets, following the agency's documented procedures and escalation rules. Our staff are our employees or contractors, bound by written confidentiality obligations, and work under our supervision. They do not solicit, negotiate or sell insurance, give coverage advice, bind, issue or change coverage, or carry out any other activity that requires an insurance license. Those stay with the agency's licensed staff.
2.3 Scope. The request types, workflows, integrations, monthly allowances and support hours included are those in the Order. Anything else, including new work types or more volume, is agreed in writing before we do it.
2.4 Changes to the service. We improve the service over time. We will not make a change that materially reduces the core functions an agency has ordered during its current term, and we will give at least 30 days' notice of any change that materially affects how the agency uses the service.
3. Accounts and access
3.1 Accounts. Shlix AI is for insurance agencies and the people they authorize. Accounts are issued by the agency's owner; there is no public sign-up. Users must be at least 18 years old.
3.2 Credentials. The agency keeps its users' credentials confidential, removes access promptly when someone leaves, and is responsible for what is done with its accounts. It must tell us at once if it suspects an account has been misused.
3.3 Access the agency grants us. Where the service or our staff need access to the agency's mailbox, agency management system, carrier portals or other systems, the agency grants only the access the agreed work needs, using accounts in its own name for our staff where the system allows it, and can revoke it at any time. The agency is responsible for confirming that its carrier and vendor agreements allow that access, including access by our staff from India (section 7.3).
4. Acceptable use
Use of the service must follow our acceptable use policy. We may suspend access that puts the service, other customers or anyone's data at risk, limited to what is needed to remove the risk. We will tell the agency why, in advance where we reasonably can, and restore access as soon as the risk is resolved.
5. AI output and the agency's responsibility
5.1 Software, not an insurance producer. Shlix AI prepares work and checks it against the agency's records. It does not give insurance advice, bind or change coverage, make underwriting, eligibility, pricing or claims decisions, or replace a licensed professional's judgment.
5.2 Review before sending. Automated output can be wrong. Certificates, ID cards, endorsements, replies and other documents must be reviewed and approved under the agency's own procedures and its carriers' requirements. The agency sets which request types need approval before anything is sent, and it remains responsible for what is sent in its name and for its decisions.
5.3 How AI is used. Which models we use, what they see and how people stay in control is set out in our AI use policy. We do not use agency data to train AI models.
6. Fees, term and payment
6.1 Fees. The agency pays the fees in its Order. Fees are in US dollars and exclude taxes, which the agency pays (other than taxes on our income). How statements, payment, disputes and refunds work is set out in our billing and refund policy, which forms part of these Terms.
6.2 Term. AI Automation is month to month unless the Order sets a longer term. Plans that include our staff (AI + Human Support and Dedicated Operations Support) have an initial term of three months, so we can train people on the agency's process, and then continue month to month. Any term in the Order applies instead.
6.3 Price changes. We give at least 30 days' written notice of a price change. It applies from the next billing month after the notice, and never during a fixed term set in an Order.
6.4 Late payment. If an undisputed amount is more than 30 days overdue, we may suspend the service after giving at least 10 days' further written notice. Suspension does not delete agency data.
6.5 Taxes. We invoice from India, and the service is performed outside the United States; for Indian tax purposes it is an export of services, so no Indian GST is charged to the agency. Where a US state or local law requires us to collect sales, use or similar tax on the service, we show it as a separate line on the invoice and the agency pays it, unless it gives us a valid exemption certificate. The agency pays the fees in full, without deduction or withholding; if the law requires it to withhold tax from a payment, it increases the payment so that we receive the amount we would have received without the withholding, and sends us the official receipt. On request we provide a completed IRS Form W-8BEN-E. Each party pays its own bank's charges for sending or receiving payment, and each party pays the taxes on its own income.
7. Agency data and confidentiality
7.1 Ownership. The agency owns its data, including the email, documents, customer and policy records it brings to the service and the work produced from them (“Agency Data”). It gives us the right to use Agency Data only to provide, secure and support the service for it, as set out in the DPA and its instructions. We do not sell Agency Data, use it to serve another customer or use it to train AI models.
7.2 The agency's responsibilities. The agency is responsible for having the right to connect its mailbox and systems and to share its customers' information with us, including under the Gramm-Leach-Bliley Act, state insurance privacy and data-security laws and its contracts with carriers, and for giving any notices its customers are owed.
7.3 Where data is held and accessed. Agency Data is stored in the United States. Our engineering, support and operations staff work from India and access Agency Data remotely, only when a task needs it, as described in the DPA.
7.4 Confidentiality. Each party keeps the other's non-public business, technical and financial information confidential, uses it only for this agreement and shares it only with people and providers who need it and are bound by similar obligations. This does not cover information that is public through no fault of the receiving party, already known to it, independently developed or lawfully received from someone else. A party may disclose information when the law requires, after giving the other notice where the law allows. These obligations last for the agreement and five years after it, and for as long as the information remains a trade secret or personal information.
7.5 Aggregate information. We may use information about how the service performs (for example how many requests needed a person), combined across customers so that no agency or person can be identified, to run and improve the service.
8. Security
We maintain the administrative, technical and physical safeguards described in the DPA and on our security page, appropriate to the nature of Agency Data. We will notify the agency of a security incident affecting its data within the time set in the DPA. The current status of each control, including what is planned and what we do not hold, is published in our trust center.
9. Other systems
The service connects to systems we do not control, such as Microsoft 365, agency management systems, carrier websites and phone providers. They are provided under the agency's own agreements with those providers, and we are not responsible for their availability, changes or acts. We will tell the agency when a problem on their side affects its work.
10. Our service and feedback
We and our licensors own the Shlix AI software, design, documentation and everything we build, including improvements. During its subscription the agency has a non-exclusive, non-transferable right for its authorized users to use the service for its own business. The agency may not copy, resell, reverse engineer or build a competing product from the service. If the agency sends suggestions, we may use them without obligation, but not in a way that identifies it.
11. Publicity
We will not use an agency's name, logo or words in our marketing without its prior written consent, as set out in our testimonial policy.
12. Warranties
12.1 Ours. We warrant that the service will perform materially as described in its documentation and the Order, that Dedicated Operations Support will be performed with reasonable skill and care, and that we will not knowingly introduce malicious code. If we breach this warranty, the agency should tell us within 30 days; we will fix the problem or re-perform the work and, if we cannot within a reasonable time, the agency may end the affected service and receive a refund of fees prepaid for the period after it ends. This is the agency's remedy for breach of this warranty.
12.2 Disclaimer. Except as stated in these Terms, the service is provided “as is”, and to the extent the law allows we disclaim all other warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that AI output will be accurate without review.
13. Indemnities
13.1 By us. We will defend the agency against a third-party claim that the service, as we provide it, infringes that party's intellectual property rights, and pay the damages and costs finally awarded or agreed in settlement. If such a claim is made or likely, we may get the right for the agency to keep using the service, modify it so it no longer infringes, or end it and refund prepaid fees for the remaining period. We have no obligation for claims caused by the agency's data, its changes, or use outside these Terms.
13.2 By the agency. The agency will defend us against a third-party claim arising from data it had no right to share with us, from its use of the service in breach of these Terms or the law, or from documents and decisions sent in its name, and pay the damages and costs finally awarded or agreed in settlement.
13.3 Process. The party seeking defense must notify the other promptly, give it control of the defense and settlement (no settlement may admit fault for, or impose obligations on, the defended party without its consent) and provide reasonable help, at the defending party's cost.
14. Limitation of liability
14.1 Excluded losses. Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or business opportunity, however caused, even if told they were possible.
14.2 General cap. Each party's total liability arising out of or relating to the agreement is limited to the fees paid and payable by the agency in the 12 months before the event giving rise to the claim.
14.3 Data protection cap. For our breach of our security or confidentiality obligations, or of the DPA, our total liability is limited to two times the fees paid and payable in those 12 months. This amount is in addition to, not part of, the general cap.
14.4 Not limited. The caps and exclusions do not apply to a party's indemnity obligations under section 13, the agency's obligation to pay fees, a party's fraud, gross negligence or willful misconduct, or any liability that cannot be limited by law.
15. Ending the service
15.1 By notice. Either party may end a month-to-month plan by written notice before the end of the current billing month, effective at its end. A plan with an initial or fixed term ends at the end of that term if notice is given before it ends.
15.2 For cause. Either party may end the agreement by written notice if the other materially breaches it and does not cure the breach within 30 days of written notice, or becomes insolvent.
15.3 Data on exit. For 30 days after the agreement ends, the agency may ask us to export its data in a commonly used format. We then delete Agency Data within 90 days of the end, except where the law requires us to keep it, as set out in the DPA. Backups held by our database provider expire on its own schedule and are protected until they do.
15.4 Survival. Sections on fees owed, confidentiality, ownership, disclaimers, indemnities, limitation of liability, data on exit and sections 18 to 21 survive the end of the agreement.
16. The website
The website is for information. Its content, including examples, sample data, calculators and figures, is illustrative and is not insurance, legal or financial advice or a promise of results. Product screens show a demonstration workspace with invented data. Links to other websites are provided for convenience; we are not responsible for their content.
17. Compliance and sanctions
Each party complies with the laws that apply to it in performing the agreement, including anti-bribery and sanctions laws. The agency will not use the service in, or for the benefit of anyone in, a country or with a person subject to US or Indian sanctions.
18. Governing law and disputes
18.1 Law. These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
18.2 Talking first. Before starting a formal dispute, a party gives the other written notice and senior people from each side try in good faith to resolve it within 30 days.
18.3 Arbitration. Any dispute that is not resolved will be finally settled by binding arbitration administered by the International Centre for Dispute Resolution under its International Arbitration Rules, before one arbitrator. The seat of arbitration is New York, New York, and the language is English. Judgment on the award may be entered in any court with jurisdiction. Either party may seek urgent injunctive relief from a competent court to protect its confidential information or intellectual property, and either party may bring a claim for unpaid fees in small-claims court where eligible.
18.4 Signed agreements. A signed master agreement may choose a different law or forum, and then that choice applies.
19. Changes to these Terms
We may update these Terms. We will post the new version with a new effective date and, for a change that materially affects agencies using the service, tell them at least 30 days before it takes effect. A change does not apply during a fixed term set in an Order unless the agency agrees. If an agency on a month-to-month plan objects, it may end the plan before the change takes effect.
20. General
20.1 Entire agreement. The documents in section 1.1 are the entire agreement about the service and replace earlier discussions about it.
20.2 Notices. Notices to us go to business@shlixai.io and to our registered office. Notices to an agency go to the owner email address in its account or the contact named in its Order. Email notices are received on the next business day after sending.
20.3 Assignment. Neither party may transfer the agreement without the other's written consent, except to a successor in a merger or sale of all or substantially all of its business or the relevant part of it, with notice to the other party.
20.4 Events beyond control. Neither party is liable for delay caused by events beyond its reasonable control, such as natural disasters, war, government action, or a failure of public networks or of a provider outside our control, other than payment obligations. We keep a plan to restore the service and will tell agencies what is affected.
20.5 Independent parties. The parties are independent contractors. Nothing in the agreement creates a partnership, agency or employment relationship.
20.6 Severability and waiver. If any provision cannot be enforced, it is applied to the fullest extent allowed and the rest still applies. Not enforcing a provision is not a waiver of it.
20.7 Electronic acceptance. The agreement may be accepted and signed electronically, and in counterparts.
